Why It Matters

Selling a business is personal. The process shouldn’t feel overwhelming.

For most owners, a sale happens once. It raises questions about value, timing, taxes, employees and legacy — often all at the same time.

We bring order to that process. We start by learning what matters most to you, build a plan around it and see it through to the end, so every decision is made with clear information and no surprises.

Sell-Side Advisory

A disciplined process designed to protect your value.

Buyers come to the table prepared. You should too. We run a structured, confidential sale process that creates competition for your business, keeps distractions away from your team and puts you in control of the outcome.

You stay focused on running the company. We manage the details and keep you informed at every turn.

01

Assess

We evaluate your company’s value drivers, risks and readiness, and help you set realistic goals for price, timing and structure.

02

Prepare

We build the financial analysis and marketing materials that present your business clearly and credibly.

03

Market

We identify strategic and financial buyers who fit your goals and approach them confidentially.

04

Negotiate

We compare offers on more than price — terms, structure and what happens to your people — and negotiate the letter of intent.

05

Diligence

We prepare you for buyer scrutiny and manage requests, often starting with a sell-side Quality of Earnings to address issues early.

06

Close

We work with your attorneys and advisors to get the deal across the finish line and plan your transition.

Not sure an outside sale is the right fit? We’ll also help you evaluate a management buyout or a transfer to the next generation.

Buy-Side Advisory

Acquiring a company can be the fastest way to grow — if you buy the right one at the right price. We help owners and investors evaluate targets, look past the seller’s numbers to the business’s true performance, and structure deals that still make sense long after closing.

Valuation & Quality of Earnings

Before you sell or buy, know what the business is really worth. Our valuation professionals and Quality of Earnings team deliver objective, defensible analysis of value and earnings, so the numbers hold up when they matter most.

Planning Ahead

The best exits are planned years in advance.

Value is built long before a business goes to market. Owners who start early have time to sharpen financial reporting, reduce reliance on key customers or people, and resolve issues on their own schedule — not a buyer’s.

An early conversation today can change the outcome years from now.

FAQ

Common Questions

How far in advance should I plan a sale?
Ideally two to three years. That window gives you time to improve financial reporting, address risks and build value before buyers take a close look. If you’re further out, an early conversation still shows you where to focus.
What if I’m not sure I want to sell?
That’s a great time to talk. We’ll walk through your options — a sale to an outside buyer, a management buyout, a family transition or holding on — and what each could mean for you, financially and personally.
Will my employees and customers find out?
Confidentiality is built into our process. We market your business without naming it, require interested buyers to sign nondisclosure agreements and work with you to decide when and how to share the news.
What is a Quality of Earnings report?
A Quality of Earnings (QoE) report tests how reliable and repeatable your earnings really are, looking at items like EBITDA adjustments, working capital and one-time costs. Buyers almost always commission one. Completing your own first lets you find and fix issues before they affect price.
How is HSC Capital different from my CPA?
HSC Capital is dedicated to transactions and ownership transitions. Our team brings M&A, investment banking and valuation experience to your deal. And as part of Harding, Shymanski & Company, we can bring in tax and accounting specialists the moment you need them.
